Agreement

These terms govern your use of saratogacapadvisors.com, including the investor access area (together, “the website”), operated by Saratoga Capital Advisors, LLC (“Saratoga” or “the firm”). By using the website you agree to these terms and to the Privacy Policy. If you do not agree, do not use the website.

Informational purpose

The website is provided for general information about the firm and its programs. It does not constitute an offer to sell, or a solicitation of an offer to buy, any interest in any fund, separately managed account, or other vehicle, and nothing on it is investment, legal, tax, or accounting advice or a recommendation of any strategy. Any offer, if made, will be made only by definitive program documents and an executed advisory agreement.

Futures trading involves substantial risk of loss and is not suitable for all investors. The regulatory statements that apply to everything the firm publishes are on the Disclosures page and form part of these terms.

Jurisdiction

This website and the firm’s programs are not directed at, and do not constitute an offer or solicitation to, any person in a jurisdiction where such an offer or solicitation would be unlawful or where the firm is not authorized to make it. The firm’s programs are offered under United States law. Persons outside the United States are responsible for satisfying themselves that they may lawfully access this website and receive the firm’s materials.

Eligibility and access codes

Program materials, including performance information, are made available only to persons the firm has reason to believe are Qualified Eligible Persons under CFTC Regulation 4.7. Access to the investor access area is by a code issued individually by the firm.

An access code is personal to the person it was issued to. You agree not to share it, not to allow anyone else to use it, and not to copy, forward, or republish material obtained through it. The firm may suspend or revoke a code at any time, and records access and document activity in the investor access area as described in the Privacy Policy.

Intellectual property

The text, graphics, program descriptions, documents, and marks on the website belong to the firm or its licensors. You may view and print pages for your own evaluation of the firm’s services. Any other reproduction, distribution, or modification requires the firm’s written permission. “Saratoga Capital Advisors” and “Tactical Alpha Futures” are names of the firm and its program; nothing on the website grants a license to use them.

Acceptable use

You agree not to interfere with the operation or security of the website; not to attempt to gain access to areas or data you are not authorized to use; not to use automated means to collect information from the website beyond what search engines ordinarily do; and not to submit false information through the Request Materials form or the eligibility process.

Third-party sites

The website links to other sites, including the National Futures Association’s BASIC registration database, so that you can verify the firm’s registration independently. The firm does not control those sites and is not responsible for their content or privacy practices.

Disclaimers and limitation of liability

The website is provided “as is.” The firm works to keep it accurate and available but does not warrant that it is free of errors or interruptions, and may change or remove content at any time without notice. Information on the website speaks as of the date shown on the relevant page.

To the fullest extent permitted by law, the firm and its principals, employees, and service providers are not liable for any loss arising from use of, or inability to use, the website or its content. Nothing in these terms limits any liability that cannot be limited under applicable law, including obligations owed to clients under an executed advisory agreement or under the Commodity Exchange Act.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute about the website that is not governed by an advisory agreement or a separate arbitration agreement between you and the firm will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.

The firm may revise these terms; the date at the top of this page shows when they were last updated, and continued use of the website after a change means you accept the revised terms.
